Terms of Service

Welcome to STRIX. These Terms of Service ("Terms") govern your access to and use of the STRIX Terminal and website operated by VISHUBH Tradetech Private Limited ("Company", "We", "Us"). By accessing or using STRIX, you explicitly agree to be bound by these Terms. If you do not agree, you must immediately cease using the platform.

1. Nature of Service (Execution & Technology Only)

STRIX is purely a technical interface and software solution that utilizes the Application Programming Interfaces (APIs) of third-party, SEBI-registered stockbrokers to enable users to route and execute trades.

  • Not an Investment Advisor: We do not provide financial advice, trading tips, recommendations, or research reports.
  • Not a Broker: We are not a broker-dealer. We do not hold, manage, or have access to your funds or securities. All capital remains securely with your registered broker (e.g., Zerodha, Upstox).
  • Strictly a Technology Bridge: We facilitate the transmission of your orders to your broker. We are not responsible for the execution, settlement, or financial outcome of those orders.

2. User Responsibilities (The Operator)

You acknowledge that you are the sole "Operator" of the STRIX terminal. You agree and represent that:

  • You are solely responsible for all orders placed, modified, or canceled through your account.
  • You will safeguard your login credentials, API keys, and Broker API secrets. We are not liable for unauthorized access resulting from your failure to secure your credentials.
  • You understand and accept the inherent risks of internet-based trading, including hardware failures, internet latency, power outages, and API downtimes.
  • You will comply with all applicable exchange regulations, broker policies, and local laws.

3. Platform Modifications & "As-Is" Service

The STRIX Terminal is provided on an "as-is" and "as-available" basis. We are committed to providing the best trading experience; however, user expectations must align with platform realities:

  • No Demands for Features: Paying a subscription fee grants you access to the platform in its current state. Users cannot demand the expansion, reduction, or customized alteration of features, market segments, or layouts.
  • Right to Modify: We reserve the right to increase, decrease, update, or remove features, layouts, and tools at any time without prior notice.
  • Charting Limits: The embedded TradingView Lightweight (TVLW) charts are provided for immediate, minimal price action viewing. Users are encouraged to use dedicated charting platforms (like TradingView.com or their broker's terminal) for extensive market and F&O analysis.

4. Profit & Loss Liability

VISHUBH Tradetech Private Limited is not responsible for any profit gained or loss incurred while using the STRIX Terminal. The user assumes 100% responsibility for their trading outcomes. No claims, demands, or requests for compensation regarding financial losses will be entertained under any circumstances.

5. Subscription & Refunds (The Stack Model)

STRIX operates on a "Pre-paid Credit Stack" billing model. By purchasing a subscription, you agree to the following terms:

  • Credits: Purchasing a "Stack" adds inactive credits to your account bank.
  • Activation: Once a credit is "Deployed" (Activated), it is consumed immediately to grant terminal access and is strictly non-refundable.
  • Trial Pass: Any fees paid for a 14-Day Trial Pass are non-refundable unless explicitly upgraded to an Annual Plan within 30 days of the trial expiration.

6. Risk Management Tools & Panic Button

Features such as the "Panic Button," "Auto-Square Off," and other risk management tools are client-side scripts designed to send rapid exit orders to your broker.

  • Their success is heavily dependent on your internet connection, exchange liquidity, and your broker's API acceptance rate.
  • No Guarantees: STRIX does not guarantee 100% execution of these tools, especially during periods of extreme market volatility, gap openings/closings, or broker server degradation. You rely on these tools entirely at your own risk.

7. Limitation of Liability

To the maximum extent permitted by Indian Law, VISHUBH Tradetech Private Limited, its directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to:

  • Financial losses arising from software bugs, API failures, or delayed data feeds.
  • Losses resulting from third-party broker downtime (e.g., if your broker's API is unresponsive, STRIX cannot execute your orders).
  • Losses resulting from missed trading opportunities due to platform maintenance or unexpected outages.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms, the STRIX Terminal, or your use of the platform shall be subject to the exclusive jurisdiction of the competent courts located in Raipur, Chhattisgarh.
